California FTB Suspended Company Revival 101

A California FTB Suspended Company revival is the process of restoring a delinquent business entity to good standing. A California Corporation may still get revived years after having been administratively dissolved, within a few days of applying for reinstatement and paying the state fees. Keep in mind that to prevent the loss of your company name, you will have to file for a California Corporation Reinstatement within two years of entity dissolution. What happens if my corporation gets dissolved?

When your business entity gets administratively dissolved, in other words, loses good standing—you will have to pay State penalties and fees to get your California Corporation reinstated. Also, doing business as a revoked corporation may lead to some of the following negative business and legal implications:

• The loss of your business license.
• Damages in credibility and reputation if an entity or individual becomes aware of your corporation’s delinquent status.
• Losing the personal liability protection of a business entity; becoming personally liable for all debts, claims and lawsuits, among other business and legal liabilities.
• You may have to obtain “tax clearance” or written evidence that your entity has cleared all past taxes and debts with the state.

2) Gather and complete the following requested information:

• Does the Corporation have any current debts or liabilities?
• Name of Entity.
• Type of Entity (for profit, or other).
• The State of Incorporation.
• Year of Incorporation.
• Your Name, Phone Number, and E-mail.
• Your Position in Entity (Shareholder, etc.)

3) Submit your California Corporation Reinstatement request and expect a response within 4 business hours!
