A registered agent is a person or business entity designated to receive service of process, legal documents, tax notices, and other official correspondence on behalf of your business. Every corporation, LLC, and other business entity is required by law to maintain a registered agent in the state where they are formed and in any state where they are registered to do business.

State laws require all business entities to have a registered agent with a physical address in the state. The registered agent must be available during normal business hours to receive important legal documents, service of process, tax notices, and compliance reminders. Without a registered agent, your business may face penalties, lose good standing, or even be administratively dissolved.

Yes, you can serve as your own registered agent, but there are important considerations. You must have a physical street address (not a P.O. Box) in the state, be available during all business hours, and your address will be publicly available. Many business owners prefer using a professional registered agent service to maintain privacy, ensure reliability, and avoid missing important documents.

If your business does not maintain a registered agent, you may face serious consequences including: failure to receive important legal documents (which can result in default judgments), missed compliance deadlines, loss of good standing status, administrative dissolution by the state, and inability to conduct business in the state.
