The Tax Benefits of An S-Type Corporation If you are a Citizen or Permanent Resident of the United States, this is the most tax advantageous type of Corporation you can have. A regular Corporation is subject to Federal Corporate Income Taxes. Therefore, profits are taxed first on the corporate level and then again at the individual level of the shareholders to whom the profits are distributed. This double taxation could result in a combined tax rate of 70% or higher. read article |

Precedents: Owner Of Snack Food Company Sues Its Exclusive Distributor And Is Awarded $8.6 Million A snack food company entered into a contract to give exclusive rights to sell certain products to a distributor in exchange for royalties. The manufacturer contented that three months after signing the agreement, the distributor stopped distributing its products because of a prior business relationship with a rival snack food manufacturer in the area. the snack food company sued for breach of contract and fraud. The distributor argued that the contract was silent as to when and where the distributor was required to distribute. The distributor claimed that the manufacturer did not cooperate and prevented the distributor from performing. the distributor claimed that the manufacturer's lost royalty damages were grossly overstated. In addition, the distributor said that the manufacturer wrongfully terminated the five-year contract in less than a year and replaced the distributor with another distributor which took over the retail shelf space the distributor had obtained. the jury rejected the arguments of the distributor and, after a four-day trial, awarded a total of $8.6 million to the manufacturer. |
