Private Placement

The term "private placement" refers to the offer and sale of any security firm not involving a public offering. Private Placements are not subject of registration statement filed with the Securities and Exchange Commission under the 1933 Act. With a private placement you sell shares in your corporation without advertising or general solicitation, but not on the open, public market, but to select persons. You get to decide how much of the stock you want to sell, at what price, to how many private investors you want to sell.

Basically, you are a good candidate if your corporation already has a proven track record but is in need of an infusion of funds to grow. In other words, you are successful enough and are a solid investment for investors.
