| Buy-Sell Formula Doesn’t Control Valuation Of Corporate Stock At Divorce The valuation formula for shares in the buy-sell provision of a closely-held corporation’s stockholder agreement does not control the stock’s value for purposes of dividing marital property, a court has ruled. A wife sued her husband for divorce, seeking an equitable division of their property. The husband owned one-half of the stock of a closely-held corporation. That stock was subject to a buy-sell provision which provided that, in the event of the husband’s death, disability or bankruptcy, or some other triggering event, the other shareholder had a right to purchase the husband’s stock at a price to be determined by a formula. read article |

| Tips On Obtaining A Lease For Your Business When obtaining a lease for your business premises, be prepared to negotiate. The landlord’s printed lease will most always favor the landlord. Match the lease to your business needs. If location is important and this is the right location, you will want a longer lease. Long leases favor the tenant. Of course, a shorter lease with options to renew will do the same. read article |

| Court Overturns Spot Zoning A city’s decision to rezone an asphalt plant, in an area of light commercial and residential uses, for industrial use was overturned. The asphalt company operated a plant since the early 1960s. Since 1968, when the land was rezoned from industrial to commercial, the company had operated as a nonconforming use. Over the years, the asphalt plant repeatedly sought variances from the city’s Zoning Board of Appeals. Recently the city board approved a zoning change of three parcels for the asphalt plant. A neighboring campground complained the city had engaged in spot zoning and had violated the State Environmental Quality Review Act. The court ruled the city board failed to comply with all the requirements of the State Environmental Quality Review Act and overturned the spot zoning. |
