This year brought changes in three states, and the effective dates do not line up the way most owners would expect.<\/p>\n\n<div class=\"al-intro-box\">\n  <p>Three states changed what it costs to form and maintain a business entity this year. Delaware raised annual taxes and fees under House Bill 400. Louisiana raised commercial filing fees under Act 921. New Jersey moved the other direction and cut formation fees.<\/p>\n  <p>The Delaware change is the one most business owners will get wrong, because part of it applies retroactively to a date that has already passed.<\/p>\n<\/div>\n\n<p style=\"text-align:center;\"><a href=\"https:\/\/www.amerilawyer.com\/411\/annualfiling.htm\" class=\"al-btn\">File Annual Report<\/a><\/p>\n\n<h2 class=\"al-h2\">Delaware: Annual Taxes Increased Retroactive to January 1, 2026<\/h2>\n<p class=\"al-body\">Delaware House Bill 400 was signed on May 21, 2026, and it carries two separate effective dates. Missing that distinction is what leads owners to assume they have more time than they do.<\/p>\n\n<div class=\"al-alert-box\">\n  <span class=\"al-alert-label\">Important<\/span>\n  <p>The bill&#8217;s own synopsis states that most fee changes take effect August 1, 2026, but that changes to the partnership, limited partnership, and limited liability company annual tax, along with the annual tax on registered series, take effect January 1, 2026.<\/p>\n  <p>In plain terms: if you own a Delaware LLC, the higher annual tax already applies to your 2026 tax year. The increase is not something coming later this summer. Every section of the corporation, LLC, LP, and LLP statutes that permits or requires service on the Secretary of State was amended to reflect the new amount. If your entity is ever served this way, the cost doubled.<\/p>\n\n<p class=\"al-body\">Delaware also expanded expedited processing. The state now has authority to charge up to $300 for 24-hour service, up to $500 for same-day, up to $1,500 for two-hour, up to $2,500 for one-hour, and up to $10,000 for 30-minute service. These are ceilings the state may charge, not amounts automatically imposed on every filing, but they matter if you are closing a transaction on a deadline.<\/p>\n\n<h3 class=\"al-h3\">What Delaware Owners Should Do Now<\/h3>\n<p class=\"al-body\">Your 2026 Delaware LLC annual tax comes due June 1, 2027, at the new $400 rate. That gives you time to plan, and it gives you a reason to look at your entity list before the bill arrives.<\/p>\n\n<p class=\"al-body\">The entities that quietly cost the most are the ones nobody is watching: the holding company from a deal that closed, the subsidiary that stopped operating, the LLC formed for a project that never launched. Each of those now carries $400 a year instead of $300. Across a portfolio of five dormant entities, that is $500 in new annual cost for companies doing nothing.<\/p>\n\n<p class=\"al-body\">If you have Delaware entities you no longer need, dissolving them is a decision worth making deliberately rather than by default. It passed the House on April 1, 2026, passed the Senate on May 21, and became law without the Governor&#8217;s signature on June 23, 2026. Increases generally run from roughly $5 to $30 depending on the filing, and they cover a broad range of transactions including formations, amendments, mergers, conversions, annual reports, and foreign qualification filings.<\/p>\n\n<p class=\"al-body\">The Legislative Fiscal Office estimated the increases will generate roughly $5 million in additional annual revenue for the state, which gives a sense of scale: this is a broad adjustment across the fee schedule rather than a change to one or two filings.<\/p>\n\n<p class=\"al-body\">Because the increases are spread across many filing types, the current schedule on the Secretary of State&#8217;s website is the authoritative source for any specific filing you are planning. If you have a Louisiana formation, amendment, or qualification on your roadmap for this year, completing it before October 1 locks in the current rate.<\/p>\n\n<h2 class=\"al-h2\">New Jersey: Formation Fees Reduced July 1, 2026<\/h2>\n<p class=\"al-body\">New Jersey went the opposite direction. Annual report fees did not change: they remain $75 for most for-profit entities and $30 for nonprofits.<\/p>\n\n<p class=\"al-body\">The savings are modest on a single filing. They matter more if you are forming several entities, qualifying an out-of-state company into New Jersey, or restructuring a group.<\/p>\n\n<p style=\"text-align:right;padding:30px 0;\"><a href=\"https:\/\/www.amerilawyer.com\/start-company\/contact-information\" class=\"al-btn\">Start Your Company<\/a><\/p>\n\n<h2 class=\"al-h2\">The Pattern Worth Noticing<\/h2>\n<p class=\"al-body\">Three states, three different directions, three different effective dates, all inside a single year. That is the actual lesson here.<\/p>\n\n<p class=\"al-body\">Fee schedules are set on legislative calendars, not business ones. No state sends you a notice when it raises a fee. You find out when the invoice arrives, or worse, when a filing gets rejected for the wrong payment amount and the delay costs you a deadline.<\/p>\n\n<p class=\"al-body\">Three questions worth answering before the end of the summer:<\/p>\n<ul class=\"al-list\">\n  <li><strong>Do you know every state your entities are registered in?<\/strong> Foreign qualifications from years ago are easy to forget and still generate annual obligations.<\/li>\n  <li><strong>Are you paying to maintain entities you no longer use?<\/strong> Delaware just made that more expensive. So will other states eventually.<\/li>\n  <li><strong>Is your registered agent address current in every state?<\/strong> Fee notices, delinquency warnings, and service of process all go to the agent on file.
