 QUALIFICATION OF A FOREIGN CORPORATION How do you Qualify your corporation? First, you should be aware that when you initially incorporated your business, the State in which you filed is the only State in which your corporation is authorized to transact business. All other States will regard your business as a "foreign corporation" and may require special authorization. Therefore, if you want to maintain your principal offices in the State of incorporation, but plan to expand your business presence beyond that State, your corporation may find it necessary to "Qualify." As such, your corporation will be required to file again with each State where it plans on transacting business. In addition, you will be required to maintain a registered agent in every state where you will be transacting business.
