Indemnification – Don’t Take Chances, Protect Yourself From Personal Liability (Select check box for more information)
We strongly recommend that you include special resolutions and provisions in your Changes to Shareholders of a Profit Corporation authorizing an Indemnification Agreement which would trigger important protection requiring the Profit Corporation to indemnify and hold harmless its departing Shareholder of the Profit Corporation from any actions taken on behalf of the Profit Corporation. If a Shareholder is ever sued for actions taken on behalf of the Profit Corporation, these provisions require that the Profit Corporation be held responsible, as agreed upon between the departing Shareholder and the Profit Corporation. Appropriate corporate resolutions and Indemnification Agreement will be prepared by Spiegel & Utrera, P.A.
 
Mutual Releases of Liability – Don’t Take Chances, Protect Yourself From Personal Liability (Select check box for more information)
We strongly recommend that any departing Shareholder of a Profit Corporation exchange Mutual Releases of Liability with the Profit Corporation. Basically, the Profit Corporation gives the departing Shareholder a release of liability for any actions taken by the Profit Corporation towards the departing Shareholder while the Shareholder was affiliated with the Profit Corporation. Also, the departing Shareholder gives the Profit Corporation a Release of Liability. Once again, this protects the departing Shareholder from any actions which the Profit Corporation may attempt to take in the future against the departing Shareholder. This exchange of Mutual Releases of Liability protects both the departing Shareholder and the Profit Corporation from any claims or demands from the other and terminates the past relationship without liability. Appropriate corporate resolutions and releases will be prepared by Spiegel & Utrera, P.A.
 
There is an existing Shareholders Restrictive Agreement among shareholders which has been executed by either all or some of the shareholders.
