Indemnification – Don’t Take Chances, Protect Yourself From Personal Liability (Select check box for more information)
We strongly recommend that you include special resolutions and provisions in your Changes to Members of a Limited Liability Company authorizing an Indemnification Agreement which would trigger important protection requiring the Limited Liability Company to indemnify and hold harmless its departing Member of the Limited Liability Company from any actions taken on behalf of the Limited Liability Company. If a Member is ever sued for actions taken on behalf of the Limited Liability Company, these provisions require that the Limited Liability Company be held responsible, as agreed upon between the departing Member and the Limited Liability Company. Appropriate corporate resolutions and Indemnification Agreement will be prepared by Spiegel & Utrera, P.A.
  
Mutual Releases of Liability – Don’t Take Chances, Protect Yourself From Personal Liability (Select check box for more information)
We strongly recommend that any departing Member of a Limited Liability Company exchange Mutual Releases of Liability with the Limited Liability Company. Basically, the Limited Liability Company gives the departing Member a release of liability for any actions taken by the Limited Liability Company towards the departing Member while the Member was affiliated with the Limited Liability Company. Also, the departing Member gives the Limited Liability Company a Release of Liability. Once again, this protects the departing Member from any actions which the Limited Liability Company may attempt to take in the future against the departing Member. This exchange of Mutual Releases of Liability protects both the departing Member and the Limited Liability Company from any claims or demands from the other and terminates the past relationship without liability. Appropriate corporate resolutions and releases will be prepared by Spiegel & Utrera, P.A.
